UK FSA registered UK Supplementary Prospectus
A supplementary UK prospectus approved by the United Kingdom's Financial Services Authority on 1 December 2005 and accepted by the Swedish Financial Supervisory Authority on 1 December 2005 which is available in English. The supplementary UK Prospectus is issued in relation to the Old Mutual shares to be issued pursuant to Old Mutual’s Offer and its contents include information on Old Mutual's and Skandia's businesses, including financial and other information, and also information on the Offer to Skandia's shareholders.

The supplementary Prospectus consists of a supplementary information brochure, the UK supplementary prospectus, ABN AMROS’s fairness opinion dated 21 September 2005 and Skandia’s nine months report 2005 dated 15 November 2005.

UK Prospectus: The prospectus approved by the United Kingdom's Financial Services Authority on 7 October 2005 and accepted by the Swedish Financial Supervisory Authority on 10 October 2005 (the "UK Prospectus"), which is available in English. The UK Prospectus is issued in relation to the Old Mutual shares to be issued pursuant to Old Mutual’s Offer and its contents include information on Old Mutual's and Skandia's businesses, including financial and other information, and also information on the Offer to Skandia's shareholders. The UK Prospectus forms an appendix to the Prospectus, and the Prospectus should be read together with the UK Prospectus. The UK Prospectus also includes certain information required by the FSA’s Listing Rules for Class 1 information, which is incorporated by reference into the Class 1 Circular.
Class 1 Circular: The Class 1 Circular, dated 7 October 2005, incorporating a letter from the Chairman explaining the proposed offer for Skandia and the notice to the current Old Mutual shareholders of the Extraordinary General Meeting of Old Mutual. This document is published in accordance with the FSA's Listing Rules.

Prospectus: The prospectus relating to the Offer to the Skandia shareholders, registered by the Swedish Financial Supervisory Authority on 10 October 2005, (the "Prospectus") which is available in Swedish and English. The Prospectus summarises the most relevant contents from the UK Prospectus and sets out the terms and conditions of the Offer.
